1. Acceptance of Terms
By registering for, accessing, or using ParsAI (the "Service"), you ("User", "you") agree to be bound by this User Agreement & Terms of Service (the "Agreement"). If you do not agree, you must not use the Service. You confirm that you have read, understood, and accepted this Agreement in full at the time of registration.
2. Definitions
- Service: The software application provided by the Operator that connects to a User's third-party cryptocurrency exchange account via API and executes automated trading actions according to its programmed logic.
- Operator: The provider of the Service, as identified above.
- User: Any individual or entity that registers for or uses the Service.
- Exchange: A third-party cryptocurrency trading platform (e.g., Binance, Bybit) on which the User holds an account and funds.
- API Key: The credentials issued by an Exchange that allow the Service to place trades on the User's behalf.
3. Description of the Service
3.1. The Service is a software tool. It connects to the User's own Exchange account through an API Key supplied by the User and performs automated trading operations based on its algorithmic logic.
3.2. The Operator never takes custody of, holds, controls, or has access to User funds. All funds remain in the User's own Exchange account at all times. The User deposits, withdraws, and controls their own capital exclusively through their own Exchange.
3.3. The Service is not a fund, a managed account, an investment scheme, a broker, or a financial institution. The Operator does not pool, manage, or invest User capital.
3.4. The Operator may modify, suspend, or discontinue any part of the Service at any time.
4. NOT Financial, Investment, or Trading Advice
4.1. The Service does not provide financial advice, investment advice, trading advice, tax advice, or legal advice of any kind.
4.2. Nothing produced by the Service constitutes a recommendation to buy, sell, or hold any asset.
4.3. The User is solely responsible for evaluating whether the Service is appropriate for them and for all decisions relating to their own capital. The User should consult independent, qualified professionals before using the Service.
5. Risk Disclosure
5.1. Trading cryptocurrencies and derivatives involves substantial risk of loss. You may lose some or all of your capital.
5.2. Leverage dramatically increases risk. Leveraged positions can result in losses exceeding initial margin and can be liquidated rapidly.
5.3. Past performance is not indicative of future results. Any historical performance figures, statistics, or examples - whether shown on the website, in marketing materials, or elsewhere - do not guarantee or predict future performance.
5.4. The Service may experience errors, downtime, delays, bugs, or unexpected behavior. Markets may move in ways the Service's logic does not handle well. No trading system is profitable in all conditions.
5.5. You should only use capital you can afford to lose entirely.
5.6. By using the Service, you acknowledge that you understand and accept these risks.
6. Eligibility
6.1. You must be at least 18 years old (or the age of legal majority in your jurisdiction, whichever is higher) and have full legal capacity to enter into this Agreement.
6.2. You must not use the Service if you are located in, or a resident of, any jurisdiction where use of the Service or cryptocurrency trading is prohibited or restricted. It is your responsibility to determine whether your use of the Service is lawful in your jurisdiction.
6.3. You represent that your use of the Service complies with all laws applicable to you.
7. Account Registration
7.1. You must provide accurate and complete information when registering and keep it up to date.
7.2. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
7.3. The Operator may approve, reject, suspend, or terminate any registration at its discretion.
8. API Keys and Security
8.1. To use the Service, you must supply an API Key from your Exchange. You do this voluntarily and at your own risk.
8.2. You must create API Keys with withdrawal/transfer permissions DISABLED. The Service requires only trading permissions. You must not grant withdrawal access. The Operator is not responsible for losses arising from API Keys configured with withdrawal permissions enabled.
8.3. The Operator will take reasonable measures to store API Keys securely, including encryption at rest. However, no system is perfectly secure, and you accept the residual risk inherent in providing API credentials to any third-party software.
8.4. You may revoke your API Key at any time through your Exchange, which will disable the Service's access.
9. User Responsibilities
9.1. You are solely responsible for: your own capital, your own Exchange account, your API Key configuration, your selected settings (where applicable), your tax obligations, and your compliance with all laws applicable to you.
9.2. You are responsible for monitoring your own account and positions. The Service running automatically does not transfer responsibility for outcomes to the Operator.
9.3. You must not misuse the Service, attempt to disrupt it, reverse-engineer it, resell it, or use it for any unlawful purpose.
10. Fees and Payment
10.1. Access to the Service may require payment of subscription or other fees, as described on the website at the time of registration. (Fee terms to be finalized.)
10.2. Payment terms, billing cycle, accepted payment methods, and any refund policy will be specified at the point of purchase. Cryptocurrency payments are generally irreversible; any refund policy must be stated explicitly and will be applied only as written.
10.3. Failure to pay applicable fees may result in suspension or termination of access.
10.4. The Operator is responsible for its own tax obligations on fees it receives. You are responsible for your own tax obligations.
11. No Warranty
11.1. The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express or implied.
11.2. The Operator does not warrant that the Service will be uninterrupted, error-free, secure, profitable, or that it will meet your expectations.
11.3. The Operator does not guarantee any trading result, profit, or performance level.
12. Limitation of Liability
12.1. To the maximum extent permitted by applicable law, the Operator shall not be liable for any trading losses, lost profits, lost capital, missed opportunities, liquidations, or any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Service.
12.2. This includes losses arising from Service errors, bugs, downtime, delays, security incidents, Exchange failures, market conditions, or the Service's trading logic.
12.3. (A liability cap may be inserted here - to be determined with legal counsel.)
13. Indemnification
You agree to indemnify and hold harmless the Operator from any claims, damages, losses, or expenses arising from your use of the Service, your breach of this Agreement, or your violation of any law or third-party right.
14. Intellectual Property
14.1. The Service, its software, design, and content are the property of the Operator and are protected by applicable intellectual property laws.
14.2. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You acquire no ownership rights.
15. Termination
15.1. You may stop using the Service and close your account at any time.
15.2. The Operator may suspend or terminate your access at any time, with or without cause, including for breach of this Agreement.
15.3. Provisions that by their nature should survive termination (including Risk Disclosure, No Warranty, Limitation of Liability, and Indemnification) will survive.
16. Modifications to the Agreement
16.1. The Operator may update this Agreement from time to time. Material changes will be communicated through the Service or by other reasonable means.
16.2. Continued use of the Service after changes take effect constitutes acceptance of the revised Agreement.
17. Privacy and Data
The Operator's handling of personal data and API credentials is described in the Privacy Policy, which forms part of this Agreement. (A separate Privacy Policy should be prepared.)
18. Governing Law and Dispute Resolution
18.1. This Agreement is governed by the laws of [GOVERNING JURISDICTION], without regard to conflict-of-law principles.
19. General Provisions
19.1. If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect.
19.2. This Agreement constitutes the entire agreement between you and the Operator regarding the Service.
19.3. The Operator's failure to enforce any provision does not waive that provision.
